Terms of Service

Effective July 20, 2026 · Terms governing access to and use of BayLogic.

1. Agreement

These Terms of Service (“Terms”) govern access to and use of BayLogic websites, applications, and services. By using the service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Accounts and authorized users

You are responsible for accurate account information, maintaining the confidentiality of credentials, assigning appropriate access, and activity under your organization’s accounts. Notify us promptly of suspected unauthorized access.

3. Service use

You may use BayLogic for lawful internal business operations. You may not interfere with the service, attempt unauthorized access, reverse engineer except where law expressly permits, introduce malicious code, misuse third-party data, or use the service to violate rights or law.

4. Customer data

As between you and BayLogic, you retain rights in data you submit to the service. You grant BayLogic the limited rights necessary to host, process, transmit, and display that data to provide, secure, and support the service. You are responsible for having appropriate rights and notices for data you submit.

5. Third-party services

BayLogic may interoperate with third-party services. Those services are governed by their own terms and availability. References to third-party providers do not imply sponsorship, endorsement, or partnership unless expressly stated.

6. Commercial information

The public Pricing page states BayLogic’s current pricing direction. Final onboarding, integration, launch, and billing details are confirmed during the walkthrough before a customer proceeds.

7. Availability and changes

We work to provide a reliable service, but do not promise uninterrupted or error-free operation. We may improve, modify, or discontinue features and will use reasonable efforts to communicate material changes that significantly affect active customers.

8. Intellectual property

BayLogic and its licensors retain all rights in the service, software, design, trademarks, and documentation, excluding customer data. Feedback may be used to improve BayLogic without restriction or payment, provided we do not identify you publicly without permission.

9. Suspension and termination

BayLogic may suspend access when reasonably necessary to address a material breach, security risk, or unlawful use, and will use reasonable notice where circumstances allow.

10. Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available.” BayLogic is an operational tool and does not replace professional automotive judgment, legal advice, tax advice, or required safety procedures.

11. Limitation of liability

To the maximum extent permitted by law, BayLogic will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data. Any aggregate liability will not exceed the amounts paid to BayLogic for the service during the 12 months before the event giving rise to the claim.

12. Changes and contact

We may update these Terms by posting a revised version and updating the effective date. Material changes may be communicated through the service or by email. Questions may be sent to legal@baylogic.app.
